Terms of Use Agreement
The terms and conditions stated herein are for SERVICEs (hereinafter "SERVICE") provided by BizEsp Limited (hereinafter "BizEsp") at BizEsp web SITE (hereinafter "the SITE"). This is a legally binding AGREEMENT (hereinafter "AGREEMENT") and the parties to this AGREEMENT are registrants, members and all other USER (hereinafter "USER") of the SITE and SERVICE. This SITE is not available for use by people under the age of 18, or individuals or organisations who can not form legally binding contracts under applicable law.
NOW IT IS HEREBY AGREED between the parties that USER will use this web SITE under the following terms and conditions to the extent legally permissible:
1.By using this web SITE, the USER agrees that he/she has read and understands all of the terms and conditions in the Terms of Use described herein.
2.The parties agree that all future modifications of the SITE including new SERVICE, publications and items for sale will automatically fall under the terms of use described herein.
3.Unless the context otherwise requires, references to the singular include the plural and references to the masculine include the feminine, and vice versa.
4.The headings of clauses in this AGREEMENT are for convenience only and shall not affect the interpretation of this AGREEMENT.
5.In the event of any conflict between the terms and conditions of this AGREEMENT and the terms of any sales literature, order, acceptance, invoice, shipping document, correspondence, other agreement or other document, the terms and conditions of this AGREEMENT shall prevail.
6.Entire AGREEMENT
(a) This AGREEMENT embodies the entire understanding and AGREEMENT of the parties in relation to the subject matter hereof and supersedes, cancels and replaces any previous AGREEMENT or arrangement between the parties. Each party acknowledges that in entering into this AGREEMENT, it does not do so on the basis of, and does not relay on, any representation, warranty or other provision except as expressly provided in this AGREEMENT.
(b)Each of the provisions of this AGREEMENT are separate and separable and enforceable accordingly if at any time any provision hereof is adjudged by any court to be void or enforceable, the validity, legality and enforceability of the remaining provisions hereof shall not in any way be affected or impaired.
7.Membership. Membership is FREE upon registration.
8.Payment to BizEsp for Services. This shall be determined on a case by case basis and shall be stated in customised quotes provided by BizEsp.
9.This AGREEMENT may be terminated by either party upon notice to the other party in response to a breach of any of the Terms of Use. We may terminate your use of the SITE immediately if any information provided can not be authenticated or is proven to be false or for any unacceptable conduct.
10.The SITE contains community areas for members to network and engage in communications, the USER shall use community areas only to send and receive content, messages and other material that are relevant and proper for the community areas. By way of example, and not as limitation, the USER agrees not to:
(a) Publish, post, upload, distribute or disseminate any profane, defamatory, obscene or infringing material.
(b) Use the Site in violation of national or international law.
(c) Harass, stalk, abuse, intimidate, threaten or any way whatsoever violate the rights and privacy of other users.
(d) Upload files that contain viruses, corrupted files, or any other malicious programmes that may damage the Site or computers of other users.
(e) Engage in 'spamming'.
(f) Use the Site to sell or advertise goods or services not relevant to the business of bizesp.com.
11. Confidential Information. The parties may receive from time to time, the other party's confidential information. Confidential Information shall include, without limitation, business models, data, know-how, formulas, compositions, processes, documents, designs, sketches, photographs, plans, graphs, drawings, specifications, equipment, samples, reports, customer lists, pricing information, marketing data, studies, findings, inventions, ideas. Confidential Information shall be disclosed in tangible form or machine readable form and marked "Confidential". Information disclosed in non-tangible form, such as orally or by visual inspection, shall not be considered confidential unless the disclosing party confirms in writing the fact and general nature of the disclosure within one (1) month after it is made. The amount of Confidential Information disclosed shall be completely within the discretion of the disclosing party. The receiving party agrees that it will not use such information for its own benefit or the benefit of third parties, except for the performance of this AGREEMENT and will take all reasonable measures to protect the confidentiality of such information, and shall limit disclosure of Confidential Information within its own organisation to individuals whose duties justify the need to know such information, who have a clear understanding of the obligations of this AGREEMENT and who are legally obligated to comply with the terms of this AGREEMENT. The recipient of Confidential Information shall be under no obligation with respect to any information which: (a) at the time of disclosure is available to the public; or (b) after disclosure becomes available to the public through no fault of the receiving party, provided that the obligation of the recipient shall cease only after the date on which such information has become available to the public; or (c) the recipient can demonstrate through tangible evidence was in its possession before receipt from the disclosing party; or (d) is disclosed to the recipient without restriction on disclosure by a third party who has the lawful right to disclose such information
12.Copyright. All rights to content on the SITE shall be the property of BizEsp.com, pursuant to international copyright. USER shall be entitled to print parts of the content on the SITE for individual use and for the purpose of this AGREEMENT. BizEsp.com reserves the right to modify, change or alter the features, content and terms of legal agreements on the SITE without notice and at the absolute discretion of BizEsp.com.
13.Members. To obtain membership privileges you shall join BizEsp.com as a registrant. You may cancel your membership at any time as described in 'Term of AGREEMENT' below. Termination shall not entitle you to any refund of your membership fees or any other costs. All USER completing a registration form, be they individual USER or corporate entities, shall agree that the information they present is accurate and correctly represents their professional status and nature of their business. You agree that you shall not disclose to or share your password with any third parties or use your membership for any unauthorised purpose. You shall notify BizEsp.com of any breach of security such as theft of your password.
14.Your Content and Communications. You may have the right to communicate directly with other members dependent on your membership category. Any information and content you provide to BizEsp.com or display on the SITE shall be your sole responsibility with the SITE functioning as a channel to the market. At its sole discretion and without notice, BizEsp.com reserves the right to modify, edit or remove any information, that it considers inappropriate for any reason whatsoever. You agree to grant BizEsp.com the right to publish your corporate or trade name and your web SITE URL for the purpose of marketing promotions to promote BizEsp.com and the Site as a market place.
15.No Warranties. BizEsp.com shall provides the SITE and SERVICE and content "AS IS" and without warranty of any kind, express or implied, including without limitation no warranties of completeness or accuracy of information, commercial value, merchantability, performance, fitness for function of any SERVICE or technology or product on the SITE and all SERVICE and content on the SITE are provided "AS IS".
16.Limited Liability and Disclaimer. BizEsp.com has no influence over nor is responsible for the acts or omissions of third party web sites or buyers or sellers or authors of publications or the quality or legality of third party SERVICE or offers of third party interaction with USER of the SITE. Your expressly agree and understand that your use of the SITE is at your own sole risk. BizEsp does not warranty, represent or warrant that your use of the SITE will be problem free or that the SITE will meet your requirements. BizEsp.com shall not be liable to you for any damages, claims including without limitation, claims brought by third parties against you for infringement. BizEsp.com shall not be liable for any costs you suffer or incur as a result of third party claims relating to your use of the SITE. Under no circumstances whatsoever will BizEsp.com be liable for any indirect, special, punitive or consequential damages or for any other damages you may suffer. You shall be liable for any damages and third party claims against BizEsp.com arising out of information and content you provide to BizEsp.com or any such information or content that you post on the SITE or any breach by you or any other USER of your account of your AGREEMENT and representations contained herein or other terms that may apply to any SERVICE.
17.Third Party Contracts and Indemnification. You agree that you will not disclose to BizEsp.com or to other USER any information that you are under existing third party contractual or other legal obligation to maintain in confidence or otherwise do not have the title to legal ownership. In case of a breach of this clause, you shall be liable to defend, indemnify and hold harmless BizEsp.com and its officers, employees, agents, licensors, suppliers, collaborators from and against all claims, liabilities, actions and settlements including, without limitation, all legal costs arising in connection with your use of the SITE or SERVICE.
18. Notices. All notices shall be sent to the respective email addresses of the parties and deemed delivered 48 hours after the email is sent, unless the sender is notified that the email address is invalid.
19. Term of AGREEMENT. This AGREEMENT shall become effective immediately upon any use by you of the SITE and shall remain effective unless terminated by either party as provided hereunder.BizEsp.com may terminate this AGREEMENT at any time for any breach of the terms herein by giving you notice in writing or in e-mail to the address provided by you and such termination shall be effective immediately upon delivery of such notice. You may terminate this AGREEMENT at any time by giving notice in writing or by email to BizEsp.com and such termination shall be effective immediately.
20. This AGREEMENT shall be governed by and construed in all respects in accordance with United Kingdom, English Law and the parties submit to the exclusive jurisdiction of the English courts.
